1. Introduction
These Terms of Service govern your access to and use of OGPP Strategy Advisor, including the website, subscription platform, gated AI chat interface, prompt libraries, sample templates, business guides, review request services, strategy call booking, digital content, support channels, and related services provided by OG Project Partners Inc. (“OGPP”, “we”, “us”, “our”).
By accessing, creating an account, starting a free trial, subscribing, purchasing an add-on review, booking a strategy call, uploading content, using the AI chat interface, or otherwise using OGPP Strategy Advisor, you agree to these Terms.
If you do not agree with these Terms, you must not access or use OGPP Strategy Advisor.
2. Company information
Service provider: OG Project Partners Inc. Brand: OGPP Strategy Advisor. Websites: www.ogprojectpartners.ca and strategyadvisor.ogprojectpartners.ca.
Business focus: AI-native operational intelligence, business transformation, AI readiness, SOP support, automation planning, KPI planning, business documentation support, and strategic advisory services.
3. Service description
OGPP Strategy Advisor is a subscription-based AI business strategy workspace designed to support:
- AI readiness exploration
- SOP drafting support
- Automation opportunity identification
- KPI planning and business roadmap development
- Business documentation preparation and operational improvement guidance
- Prompt library, sample template and business guide access
- AI-supported draft document review preparation
- Optional OGPP human review services and optional paid strategy calls
3.1 What the service is not
The platform may include AI-assisted features powered by third-party AI providers, payment processing through third-party payment providers, user account services, document submission workflows, and member-only digital resources.
OGPP Strategy Advisor does not replace professional consulting, legal advice, tax advice, accounting advice, cybersecurity certification, HR advice, immigration advice, medical advice, investment advice, or regulated financial advice.
4. Eligibility
To use OGPP Strategy Advisor, you must:
- Be at least 18 years old.
- Have legal authority to enter into this agreement.
- Provide accurate account, billing, and contact information.
- Use the service only for lawful purposes.
- Comply with these Terms and all applicable laws.
- Use the service only for your own authorized business or professional purposes.
5. Account registration
To access member-only features you may be required to create an account. You agree to provide accurate information, keep your credentials secure, not share your login, not allow unauthorized users to access your account, promptly notify OGPP of unauthorized access, and keep billing information current.
You are responsible for all activity under your account. OGPP may suspend or terminate accounts for suspected fraud, abuse, security risk, payment failure, unauthorized sharing, misuse, breach of these Terms, or unlawful activity.
6. No account sharing
Each subscription is for one authorized user unless otherwise stated in writing. You must not:
- Share your login credentials
- Resell or distribute access
- Allow multiple users to use one individual account
- Publish, post, or circulate protected member-only content
- Attempt to bypass subscription access controls
7. Free trial
OGPP may offer a 3-day free trial for new users. By starting a trial you understand and agree that:
- You may be required to provide a valid payment method.
- Your trial lasts 3 calendar days unless otherwise stated at checkout.
- Your subscription automatically converts to a paid monthly subscription at the stated price unless you cancel before the trial ends.
- Trial access may be limited by message volume, feature access, template access, usage level, or other controls.
- OGPP may refuse repeat trials, duplicate accounts, fraudulent trial use, or trial abuse.
- OGPP may change or discontinue trial offers at any time.
8. Subscription fees
The launch subscription price is CAD $19/month for Founding Member Access. This price may be available only for a limited period or for a limited number of founding members.
OGPP may later introduce different pricing tiers, including standard monthly, professional, team, advisory, or enterprise access, white-label licensing, usage-based AI credits, premium template access, or bundled consulting services. All prices are subject to applicable taxes and may change with notice where required.
9. Billing and automatic renewal
Subscriptions renew automatically each month unless cancelled. By subscribing, you authorize OGPP and its payment processor to charge your payment method for monthly subscription fees, applicable taxes, add-on purchases, paid review services, strategy calls, and other services you purchase.
Billing is processed through a third-party payment processor such as Stripe. OGPP does not store full payment card details. If payment fails, OGPP may retry payment, notify you, restrict access, suspend your account, cancel your subscription, or require updated billing information.
10. Cancellation
You may cancel through your account, billing portal, or by contacting OGPP support if a self-service option is unavailable. Cancellation stops future billing but does not automatically refund past payments.
If you cancel during the free trial before it ends, you should not be charged the monthly subscription fee. If you cancel after your subscription has renewed, you may continue to access the service until the end of the current paid billing period unless otherwise stated.
11. Paid add-on services
OGPP may offer paid add-on services: AI Readiness Review — CAD $149; SOP Review — CAD $149; 1-Hour Strategy Call — CAD $149. These add-ons are separate from the monthly subscription.
The AI Readiness Review may include a review of the user's AI readiness output, operational gaps, risk areas, and recommended next steps. The SOP Review may include review of one SOP draft for clarity, structure, roles, responsibilities, missing steps, controls, KPIs, and implementation readiness. The 1-Hour Strategy Call may include a one-hour advisory discussion about business strategy, AI readiness, automation, documentation, operational improvement, digital transformation, or next-step planning.
Paid add-on services do not include:
- Legal, tax, immigration, medical, or regulated financial advice
- Cybersecurity certification or formal audit certification
- Guaranteed business results
- Implementation services unless separately contracted
- Unlimited revisions or emergency support
- Grant, funding, investment, or approval guarantees
12. AI-assisted services
OGPP Strategy Advisor includes AI-assisted tools that may generate draft content, suggestions, summaries, recommendations, checklists, documents, prompts, or business guidance. You acknowledge that:
- AI outputs may be inaccurate, incomplete, outdated, biased, or unsuitable for your circumstances.
- AI outputs are draft advisory content only.
- Human review is required before using outputs for business-critical, legal, financial, HR, cybersecurity, regulatory, investor, operational, or implementation decisions.
- You remain responsible for all decisions, actions, submissions, and business outcomes.
- OGPP does not guarantee the accuracy, reliability, completeness, profitability, legality, compliance, or suitability of AI outputs.
- AI tools should not be used as the sole basis for important decisions.
13. Human review requirement
Human review is required before using outputs for:
- Investor submissions, grant applications and regulatory submissions
- Legal documents, contracts and agreements
- Tax filings and financial decisions
- HR and employment-related decisions
- Cybersecurity controls
- Operational implementation and client-facing deliverables
- Public or marketing claims and safety-sensitive decisions
- Medical, healthcare or care-related decisions
14. No professional advice
OGPP Strategy Advisor provides general business, operational, documentation, AI readiness and transformation guidance. It does not provide legal, tax, accounting certification, immigration, medical, mental health, regulated financial, securities or investment, insurance, engineering certification, cybersecurity certification, or professional regulatory approval.
You should consult a qualified professional before relying on outputs in regulated, high-risk, or legally significant contexts.
15. No guarantees
OGPP does not guarantee:
- Revenue growth, cost savings or profitability
- Funding, grant, loan, investor or regulatory approval
- Business success, operational performance or automation success
- Software compatibility, legal compliance or tax outcomes
- Employment outcomes or cybersecurity protection
- Uninterrupted access or error-free AI output
16. User content
“User Content” means anything you submit, upload, paste, type, provide or transmit through OGPP Strategy Advisor, including prompts, business descriptions, documents, SOPs, business plans, financial summaries, operational information, contact information, uploaded files, review requests, chat messages, feedback and support requests.
You represent that you have the right to submit User Content and that your submission does not violate laws, contracts, confidentiality obligations, privacy rights, intellectual property rights, or third-party rights.
You should not submit highly sensitive, regulated, confidential, or personal information unless you are authorized to do so and understand the risks.
17. License to process user content
You grant OGPP a limited license to process User Content to provide the service, generate AI-assisted outputs, store chat history where enabled, fulfil review requests, provide support, improve service functionality, maintain security, comply with legal obligations, and enforce these Terms.
OGPP does not claim ownership of your original User Content.
18. OGPP intellectual property
All OGPP materials remain the property of OGPP or its licensors, including software, website design, workflows, prompts and prompt libraries, AI assistant configuration, business frameworks, templates, guides, dashboards, documents, branding, logos, methodologies, strategy frameworks, operational intelligence systems, training materials, documentation structures, automation concepts and other proprietary content.
You may not copy, resell, redistribute, reverse engineer, scrape, reproduce, publish, sublicense, commercialize, or create competing products from OGPP materials without written permission.
19. Limited user license
Subject to these Terms and your active subscription, OGPP grants you a limited, revocable, non-exclusive, non-transferable license to access and use OGPP Strategy Advisor for your own internal business or professional use. This license does not include the right to:
- Resell OGPP content or redistribute templates
- Share prompts publicly or share account access
- Remove branding or notices
- Create derivative commercial products
- Use OGPP content to train competing AI systems
- Use OGPP outputs as final professional advice
- White-label or rebrand OGPP materials without written authorization
20. Templates and digital resources
Sample templates, guides and prompt libraries are provided for convenience and educational business support. Unless expressly stated otherwise: templates are licensed, not sold; they are for internal use only; they may require customization; they are not final legal, HR, financial, cybersecurity, regulatory or compliance documents; they should be reviewed before use; and they may not be resold, redistributed, sublicensed or published.
Premium, enterprise, team or white-label rights require a separate written agreement.
21. Acceptable use
You agree not to use OGPP Strategy Advisor to:
- Violate laws or regulations, or infringe intellectual property rights
- Upload malware or attempt unauthorized access
- Bypass payment systems or subscription controls
- Scrape, harvest data, reverse engineer, overload or attack the platform
- Share login credentials or impersonate others
- Submit unlawful, defamatory, discriminatory, harmful or abusive content
- Generate fraudulent, misleading or deceptive materials
- Create regulated documents without appropriate review, or use AI outputs unlawfully
- Send spam, phishing or scams, or upload information you are not authorized to share
- Develop a competing product based on OGPP's proprietary methods
22. Prohibited high-risk uses
You must not use OGPP Strategy Advisor as the sole basis for decisions involving:
- Hiring or employment termination
- Credit decisions or regulated investment decisions
- Healthcare treatment or care support decisions for children, elders or persons with disabilities
- Legal proceedings, immigration applications or tax filings
- Safety-critical operations, emergency response or cybersecurity incident response
- Regulated professional determinations, or government submissions without human review
23. Uploaded files
If file upload is enabled, you agree that:
- You will upload only files you have the right to share.
- You will not upload malicious files.
- You will not upload restricted personal, legal, medical, HR, financial or confidential information unless authorized.
- Files may be processed by OGPP systems and third-party providers for service delivery.
- OGPP may restrict file types, size, frequency and storage duration, and may delete files under retention policies.
- OGPP is not responsible for loss of user-uploaded files.
24. Support
OGPP may provide basic support through the website, email or support form. Support does not include free consulting, emergency service, guaranteed response times unless separately contracted, unlimited technical assistance, implementation support, custom development, or legal or regulated professional advice.
25. Third-party services
OGPP Strategy Advisor may rely on third-party services including AI providers, payment processors such as Stripe, hosting, authentication, database, analytics, email, scheduling, CRM and file storage providers.
OGPP is not responsible for third-party outages, policies, pricing, changes, data handling or service interruptions. Your use of third-party services may be subject to their own terms and policies.
26. Availability and service changes
OGPP may update, modify, suspend, limit, replace or discontinue any part of the service at any time. OGPP does not guarantee uninterrupted access, error-free operation, permanent availability of features, prompts or templates, compatibility with all devices or browsers, or continuous availability of third-party AI tools.
27. Security
OGPP will use commercially reasonable safeguards to protect the service, but no system is completely secure. Users are responsible for securing their devices, protecting login credentials, using strong passwords, avoiding unauthorized sharing and reporting suspicious activity.
OGPP may implement security controls such as authentication, access restrictions, rate limits, monitoring, logging, file restrictions, abuse detection and account suspension.
28. Confidentiality
Both OGPP and users agree to take reasonable steps to protect confidential business information shared through the platform. Users should not submit confidential, sensitive, regulated or restricted information unless necessary and authorized.
Confidentiality does not prevent OGPP from providing the service, processing AI requests, using service providers, complying with law, enforcing these Terms, protecting safety and security, or responding to legal requests.
29. Privacy
Use of OGPP Strategy Advisor is governed by the OGPP Privacy Policy. By using the service you consent to the collection, use, processing, storage and disclosure of information as described in that policy.
30. Commercial electronic messages
By creating an account, subscribing, purchasing or submitting a form, you may receive service-related messages. You may also choose to receive marketing or promotional communications; where required OGPP will obtain appropriate consent and provide an unsubscribe mechanism. Transactional messages about your account, billing, security, service access, review requests or support may still be sent where permitted.
31. Taxes
Prices may exclude applicable taxes unless otherwise stated. You are responsible for applicable taxes, duties, charges or government fees related to your purchases.
32. Refunds
Refunds are governed by the OGPP Refund Policy. Except where required by law or expressly stated in the Refund Policy, subscription fees, add-on review fees, digital product purchases and completed strategy call payments are non-refundable.
33. Termination by user
You may stop using the service at any time and may cancel your subscription through the billing portal or by contacting support if the portal is unavailable. Cancellation does not relieve you of amounts already due.
34. Termination or suspension by OGPP
OGPP may suspend or terminate access immediately if payment fails, account sharing is detected, fraud is suspected, a security risk is identified, a user violates these Terms, misuses AI outputs, uploads harmful content, infringes OGPP intellectual property, engages in abusive behaviour, or where continued access may harm OGPP, users, third parties or the platform.
OGPP may also terminate or modify the service for business, technical, legal or operational reasons.
35. Disclaimers
The service is provided “as is” and “as available.” To the maximum extent permitted by law, OGPP disclaims all warranties, including merchantability, fitness for a particular purpose, accuracy, completeness, reliability, non-infringement, uninterrupted service, error-free performance, and suitability for regulated, investment, legal, tax, HR, cybersecurity or compliance purposes.
36. Limitation of liability
To the maximum extent permitted by law, OGPP is not liable for indirect or consequential damages, lost profits, revenue, opportunities or data, business interruption, reliance on or inaccuracy of AI outputs, failed automation decisions, subscription access interruptions, third-party service issues, unauthorized account access caused by user negligence, decisions made based on draft content, or legal, financial, regulatory, HR, cybersecurity or operational consequences of user reliance.
Where liability cannot be excluded, OGPP's total liability is limited to the amount paid by the user to OGPP for the specific service giving rise to the claim during the three months before the claim, unless a different limit is required by law.
37. Indemnification
You agree to indemnify and hold harmless OGPP, its directors, officers, employees, contractors, partners, agents and service providers from claims, damages, losses, costs, liabilities and expenses arising from your use or misuse of the service, your User Content, your breach of these Terms, your violation of law or third-party rights, your reliance on AI outputs, your unauthorized sharing of content or account access, your business decisions or implementations, and your use of outputs in regulated or high-risk contexts.
38. Force majeure
OGPP is not responsible for delays, failures, losses or service interruptions caused by events outside its reasonable control, including natural disasters, internet outages, cyberattacks, third-party provider failures, payment processor or AI provider outages, government actions, labour disruptions, power failures, platform changes, or legal and regulatory restrictions.
39. Governing law
These Terms are governed by the laws of Alberta, Canada and applicable federal laws of Canada, without regard to conflict of law principles.
40. Dispute resolution
Before starting legal proceedings, the parties should attempt to resolve disputes through good-faith negotiation. If unresolved, disputes may proceed through mediation, arbitration, or courts of competent jurisdiction in Alberta, Canada, unless applicable law requires otherwise.
41. Changes to Terms
OGPP may update these Terms from time to time. Changes may be posted on the website or communicated by email where appropriate. Continued use of the service after changes take effect means you accept the updated Terms.
